You should be highly motivated, prepared to work extended hours, and thrive in an entrepreneurial and demanding environment.</p> <p><strong>What You’ll Do</strong></p> <ul> <li>Serve as a strategic legal advisor on all OnChain and De-Fi-related legal negotiations, with a focus on staking, validation, and tokenization matters</li> <li>Draft, review, and negotiate agreements, including token purchase agreements, staking and validation agreements, token liquidity arrangements, token grant agreements, and similar documentation pertaining to digital assets</li> <li>Provide legal insights on complex regulatory landscapes affecting decentralized finance and cryptocurrency projects</li> <li>Identify and mitigate legal risks in a rapidly evolving De-Fi ecosystem</li> <li>Collaborate with product, engineering, and business teams to ensure compliance with relevant laws and regulations</li> <li>Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate</li> <li>Draft and negotiate non-disclosure agreements</li> <li>Address issues related to intellectual property, data privacy, and governance within De-Fi structures</li> <li>Stay informed on industry trends, regulatory updates, and emerging technologies</li> <li>Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy</li> <li>Help with other special corporate projects and such other activities as may be assigned</li> </ul> <p><strong>What We’re Looking For</strong></p> <ul> <li>The ideal candidate will be highly organized, have meticulous attention to detail and a demonstrable ability to produce quality work product in a fast-paced, high-volume environment</li> <li>A strong foundational knowledge coupled with a passion for the blockchain space</li> <li>3+ years of transactional experience in top-tier law firms or crypto-focused companies</li> <li>Strong critical thinking and strategic problem-solving skills</li> <li>Comprehensive understanding of staking, validation, and De-Fi protocols</li> <li>Experience negotiating token purchase agreements, staking and validation agreements, token liquidity arrangements, token grant agreements, and similar documentation pertaining to digital assets</li> <li>Ability to thrive under pressure and in a fast-paced, high-tempo environment</li> <li>Highly motivated, self-starter who takes initiative</li> <li>Positive attitude, and willingness to roll up sleeves (no job too big, no job too small)</li> <li>Ability to think creatively and propose commercially pragmatic solutions</li> <li>Excellent written and oral communication skills</li> <li>Member in good standing of the New York State Bar</li> </ul> <p><strong>Bonus Points</strong></p> <ul> <li>Knowledge of U.S securities laws, KY/AML compliance, and the regulatory treatment of digital assets</li> <li>Demonstrable track record in handling Staking and De-Fi-specific legal issues</li> <li>Strong understanding and familiarity of vaults, vault curation, and DeFi lending markets</li> <li>Product knowledge and transactional or regulatory experience with trading and lending products generally</li> </ul> <p>Join us to shape the future of decentralized finance
